Creator Contribution Terms

Independent content suppliers

Creators are independent suppliers of content to ALSERSA, UAB. They do not sell services to PurePlate customers, enter into customer contracts, act as payment intermediaries or receive customer funds. ALSERSA, UAB alone supplies PurePlate products to customers.

Creator ledger and source of payouts

The creator ledger is solely ALSERSA, UAB's internal accounting record of amounts it owes a creator for accepted content offers. It is not a wallet, payment account, stored value, electronic money or a deposit. Creators cannot load funds, transfer ledger entries to others or use them to make payments.

A creator has no ownership, entitlement or claim to any specific customer payment, transaction or receivable. Creator remuneration is owed under the accepted content offer independently of customer purchases. All creator payouts are made from ALSERSA, UAB's own funds in settlement of its own contractual debt.

Confidentiality

Each party must protect the other's non-public business, technical and commercial information, use it only to perform this agreement, and disclose it only to personnel or advisers who need it and are bound by confidentiality, or where required by law. This duty survives termination. It excludes information already public without breach, independently developed or lawfully obtained from another source.

Warranties and responsibility for content

Creators warrant that they have all rights, licences and permissions necessary for the granted rights, that their submissions are lawful and accurate to the best of their professional knowledge, and that no material is plagiarised or copied without the necessary permission. They must disclose third-party material and restrictions before accepting an offer.

A creator is responsible for unlawful, plagiarised or infringing content they supply and for losses, reasonable costs and third-party claims caused by their breach of these warranties, to the extent permitted by applicable law. ALSERSA will notify the creator of a claim and allow a reasonable opportunity to assist in its defence. ALSERSA may remove disputed content and seek repayment of consideration for rights the creator did not have authority to grant. Neither party excludes liability that cannot lawfully be excluded.

Version and parties

These Creator Contribution Terms are version creator-contribution-v2 and form an agreement between the submitting creator and https://pureplate.pro, operated by Alsersa, UAB, company registration number 307158618, of Architektų g. 56-101 (Lazdynai), Vilnius, 04111, Lithuania.

They apply separately from customer purchase terms and take effect for a contribution when the creator confirms this version during submission.

Your ownership before acceptance

• You retain ownership of a contribution while it is submitted, under review, or subject to an unaccepted offer.
• Submission gives PurePlate a limited permission to store, access, and internally evaluate the contribution for the creator program.
• PurePlate does not acquire contribution usage rights merely because it reviews the file or makes an offer.

Offers and rights on acceptance

• PurePlate may make a one-time purchase offer in EUR after review. You are free to accept or decline it.
• Only when you accept an offer do you grant PurePlate a perpetual, worldwide, non-exclusive licence, including the right to sublicense to service providers for these purposes, to reproduce, adapt, analyze, combine, and use that contribution to develop, evaluate, operate, and improve PurePlate products and AI-assisted meal-planning systems.
• The accepted offer is the full one-time payment for those rights unless PurePlate expressly agrees otherwise in writing.
• PurePlate does not guarantee that a contribution will be reviewed, receive an offer, be purchased, or be processed within a particular period.

Withdrawal, rejection, and decline

• You may withdraw a contribution before an offer is accepted. You may also decline any offer.
• If you withdraw, decline, or PurePlate rejects the contribution, PurePlate makes the uploaded file inaccessible and schedules its operational copy for deletion.
• PurePlate may retain minimal submission, rights-decision, security, and audit records where reasonably needed to document what occurred or meet legal obligations.

Creator promises

• You are at least 18 and have authority to agree to these terms and provide the contribution.
• The contribution is your original work or you otherwise control the rights needed to submit it and accept an offer.
• The contribution does not contain confidential client or patient information, personal data you lack permission to share, unlawful material, or content that infringes another person's rights.
• Health, allergy, and nutrition statements are presented within your competence and with appropriate limitations; contributions must not misrepresent individual medical advice as general meal-planning information.

Payouts and account information

Accepted-offer earnings are credited to the creator ledger. A creator may request a manual bank payout after reaching the displayed minimum and must provide accurate payout details. PurePlate may require reasonable identity or payment checks before processing a request.

Governing law and contact

These Creator Contribution Terms and related non-contractual obligations are governed by the laws of the Republic of Lithuania, without removing rights that applicable law does not permit the parties to exclude.
